1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Storedash ("Company," "we," "us," or "our") concerning your access to and use of the Storedash platform, website, and any related services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these terms, then you do not have permission to access the Service. You must be at least 18 years old and have the legal authority to enter into these Terms.

2. Description of Service

Storedash is a comprehensive Software-as-a-Service (SaaS) platform that provides:

• E-commerce analytics and reporting
• Order and inventory management
• Customer insights and segmentation
• Marketing campaign tracking and analysis
• Integration with third-party services (Google Analytics, Google Ads, Facebook Ads)
• Real-time business intelligence dashboards
• Data synchronization with e-commerce platforms

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice to you.

3. Account Registration and Security

To use certain features of the Service, you must register for an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Immediately notify us of any unauthorized use of your account

4. Subscription Plans and Payment

4.1 Subscription Plans: Storedash offers various subscription plans with different features and limitations. Details of current plans are available on our pricing page.

4.2 Free Trial: We may offer a free trial period. At the end of the trial, you will be automatically enrolled in a paid subscription unless you cancel before the trial ends.

4.3 Payment Terms: Subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as explicitly stated in these Terms.

4.4 Auto-Renewal: Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period.

4.5 Price Changes: We reserve the right to modify our prices with 30 days' notice. Price changes will take effect at the start of your next billing cycle.

4.6 Taxes: All fees are exclusive of taxes. You are responsible for all applicable taxes related to your use of the Service.

5. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of others
• Transmit malicious code, viruses, or any destructive content
• Attempt to gain unauthorized access to our systems or other users' accounts
• Engage in any activity that disrupts or interferes with the Service

6.4 Third-Party Content: We are not responsible for third-party content accessed through the Service and do not endorse any third-party products or services.

7. Data Processing and Privacy

7.1 Data Processing: We process your data in accordance with our Privacy Policy, which is incorporated into these Terms by reference.

7.2 Data Security: We implement industry-standard security measures to protect your data. However, no method of transmission or storage is 100% secure.

7.3 Data Portability: You may export your data at any time through the Service's export features.

9. Service Level Agreement (SLA)

9.1 Uptime Commitment: We strive to maintain 99.9% uptime for the Service, excluding scheduled maintenance.

9.2 Scheduled Maintenance: We will provide at least 24 hours notice for scheduled maintenance that may affect Service availability.

9.3 Support: We provide customer support via email during business hours. Premium support options may be available for certain subscription plans.

10. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. You use the Service at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STOREDASH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Storedash and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Termination

13.1 Termination by You: You may terminate your account at any time through your account settings or by contacting us. Termination does not entitle you to any refunds.

13.2 Termination by Us: We may suspend or terminate your account immediately if you violate these Terms or engage in any conduct that we determine is harmful to the Service or other users.

13.3 Effect of Termination: Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive, including intellectual property rights, disclaimers, indemnity, and limitations of liability.

14. Governing Law and Dispute Resolution

14.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

14.2 Arbitration: Any dispute arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Delaware.

14.3 Class Action Waiver: You agree to resolve disputes with us on an individual basis and waive your right to participate in class actions or class arbitrations.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you disagree with the changes, you must stop using the Service.

16. General Provisions

16.1 Entire Agreement: These Terms constitute the entire agreement between you and Storedash regarding the Service.

16.2 Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in effect.

16.3 Waiver: Our failure to enforce any right or provision shall not be considered a waiver of those rights.

16.4 Assignment: You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.

16.5 Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.
